Affiliate Agreement

Relationship of Parties
In entering into this agreement, you the Affiliate are agreeing to be an Independent Contractor and this Agreement does not create any partnership, agency, franchise, joint venture, sales representative, or employment relationship between you and LifeCamp and you may not represent yourself as such. You will have no authority to make or accept any offers or representations on the behalf of LifeCamp, Inc. You will not make any statement, whether verbally, in writing or otherwise, that would reasonably contradict anything in this Agreement.

Our Responsibilities
LifeCamp, Inc. is responsible for providing all information necessary to assist you to create the appropriate Links and materials to send your visitors to LifeCamp.com. All materials supplied by LifeCamp are copyright protected and cannot be duplicated without written permission from LifeCamp. All other materials must be approved by LifeCamp prior to their use. This includes, but is not limited to newspaper ads, newsletters, e-mail promotions and audio media. LifeCamp, Inc. will be solely responsible for processing all orders placed by a client from your affiliate link.  LifeCamp, Inc. will also track the number and amount of sales generated by your affiliate link, will provide you with information regarding your sales statistics through our Affiliate Resource Center. Also, LifeCamp, Inc. will be responsible for processing payment, authorizing credit cards, dealing with cancellations, returns, and other related customer service pertaining to all LifeCamp, Inc. sales and referrals.

Responsibility for Websites, Links and Emails
You, the affiliate, will be solely responsible for the development, operation, and maintenance of your website and for all materials that appear on your site. Further, you will indemnify and hold LifeCamp, Inc. harmless from all claims, damages, and expenses (including, without limitation, attorneys' fees) relating to the development, operation, maintenance, and contents of your website.

LifeCamp will apply every effort to keep its website current and operational. Nevertheless, technical difficulties occasionally arise, resulting in temporary service interruptions. LifeCamp will not be held responsible for such interruptions and any subsequent loss of Affiliate commissions.

As an Affiliate, LifeCamp, Inc. will provide to you a variety of text and graphic links which, you may display on your website and in your emails.

LifeCamp, Inc. does not tolerate the sending of unsolicited email messages, or Spam, as an accepted promotion technique and is committed to permission-based email marketing practices.   Your participation in the LifeCamp Affiliate Program constitutes your acceptance of the terms and conditions of our Anti-Spam Policy:

You agree to comply with all the rules and regulations set forth in the “CAN-SPAM Act of 2003” as well as all obligations and provisions herein. All e-mails promoting LifeCamp, Inc. will be sent to those people who have given you their “Affirmative Consent” as defined in Sec. 3.1 of the “CAN-SPAM Act of 2003” (viewable at GPOAccess.gov) which by its reference is incorporated into this document.

E-mails promoting LifeCamp, Inc. shall not contain or include a falsified sender domain name or falsified IP address. E-mails promoting LifeCamp, Inc. advertisements will not utilize a false or misleading subject line that attempts to disguise or conceal the content of the e-mail. All e-mails shall include correct contact information of the sender, list manager or list owner; this includes your physical address. Every e-mail promoting LifeCamp, Inc. advertisements shall contain an Internet-based function that allows communication to be sent to the sender requesting the ability to opt-out and not to receive future e-mails. You shall process all opt-out requests within 1 week of the request.

You shall not use LifeCamp, Inc. or any of it’s trademarks, trade names, service marks, logos or other LifeCamp, Inc. identifying information in the originating or return e-mail address line of your e-mail transmissions.  All e-mail transmissions must contain language in the body and the "from" line as that clearly states the e-mail is being sent by you for the benefit of your users.

LifeCamp will take any steps it deems necessary to prevent it from being involved in Spam and if damages of any kind are levied against LifeCamp, it will pursue full legal recourse against the offending party under any and all applicable laws.

Commission Schedule
You will earn referral commissions based on revenues according to the LifeCamp commission schedule in effect at the time of the sale. The current LifeCamp commission schedule is set up to pay you a commission as follows:

20% will be paid to affiliates who refer a third party who registers and completes the payment for the AuthenTalk 3-day event. In order to earn this commission, the referral must be a new person not already listed within the LifeCamp database.

 10% will be paid to affiliates on all other purchases made by those they have referred, who are new to LifeCamp and not within the LifeCamp database.

 LifeCamp reserves the right to modify this commission schedule at any time and will notify the affiliates of the changes. Affiliates must maintain a current email address with LifeCamp.

Commission Payment
LifeCamp, Inc. pays commissions on a monthly basis on the 15th of every month, for revenues generated in the previous calendar month, when the commission amount is more than $50. If the commission amount is less than $50, we pay the commissions owed in a following month, when the accumulated commissions exceed $50. At the end of each year, you’ll receive a commission check for any accumulated commissions you earned that haven’t been paid out over the course of the year. In the event of a payment plan, you will be paid when the last payment has been made and the item purchased is paid in full.

If a Product is purchased by using a fraudulent credit card or a bounced check, we will deduct the corresponding referral fee from your next payment. If there is no subsequent payment, we will send you a bill for the commission paid on sales.

Commission Eligibility
Affiliates will only be paid on new referrals that are not already in LifeCamp’s database.  Affiliates are not eligible to earn commissions on their own purchases of any LifeCamp, Inc. product, service, or event. The commission paid will be calculated on the final price paid by the client after all discounts, incentives, and promotions have been accounted for. For Tax Reporting purposes, Affiliates (individual/resident/corporation/business) must provide LifeCamp, Inc. with a completed W-9 Federal Tax form before LifeCamp, Inc. will issue payment to the Affiliate. LifeCamp, Inc. agrees to issue a yearly 1099 to Affiliates only if they reach the maximum payout allowed under Federal tax law. The Affiliate agrees to file and remit the appropriate taxes on commissions received.

Term of the Agreement
This Agreement begins once you submit your Affiliate application and will end when terminated by either party. Either you or LifeCamp, Inc. may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. Once written termination is received by either party, you will no longer be eligible for commissions as of the following business day. Once terminated, you will be paid any outstanding commissions due within 45 days.  LifeCamp, Inc. reserves the right to cancel an affiliate Agreement at any time.

LifeCamp, Inc. may modify at any time, and at its sole discretion, the terms and conditions contained in this Agreement.  All modifications will be posted within the Affiliate Resource Center. Modifications may include, but are not limited to changes in referral fees and schedules, payment procedures and Program rules. If a change to the conditions of this Agreement is unacceptable to you, your only recourse is to opt out of the program.  By continuing to participate as an Affiliate you constitute your binding acceptance of the modification(s).   

LifeCamp, Inc. will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data, arising in connection with this Agreement or the Program; further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to you under to this Agreement.

This Agreement will be governed by the laws of the United States and the State of California, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the federal or state courts located in Los Angeles, California and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Participation in the Affiliate Program is de-facto proof of the Ambassador's acceptance of this Agreement in its entirety. If one clause in the Affiliate Agreement is deemed unenforceable, it will not deem the entire contract void.

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS.
